1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and TK Technology ("Company," "we," "our," or "us") regarding your use of our website and services.

By accessing our website at https://tktechnology.org or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Services Offered

TK Technology provides the following services:

  • Website Creation: Custom website design and development
  • Website Hosting: Web hosting services with 99.9% uptime guarantee
  • Mobile App Development: Custom mobile application development
  • Technical Support: Software and hardware support services
  • Cloud Storage: Secure cloud storage solutions
  • Cybersecurity: Security assessment and implementation services

Specific service details, deliverables, and timelines will be outlined in individual project agreements or statements of work.

3. Service Packages and Pricing

3.1 Pricing Structure

Our pricing consists of two components:

  • One-Time Website Creation Fee: Starter ($99) or Professional ($250)
  • Monthly Hosting Fee: Starter ($10/month) or Professional ($15/month)

3.2 Free Hosting Promotion

New clients receive 1 month of FREE hosting with Website Creation + Hosting packages. The free month begins upon website deployment. After the first month, standard monthly hosting fees apply.

3.3 Payment Terms

  • The one-time website creation fee is due upfront before work begins
  • Monthly hosting fees are billed on the same day each month
  • Payments can be made via bank transfer, PayPal, or other agreed-upon methods
  • Late payments may result in service suspension after 7 days
  • A $25 late fee may be applied to payments overdue by more than 15 days

3.4 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Existing clients will maintain their current pricing for the duration of their active service agreement.

4. Refund and Cancellation Policy

4.1 Website Creation Refunds

  • Before Work Begins: Full refund if project is cancelled before development starts
  • During Development: 50% refund if cancelled before the first draft is delivered
  • After Delivery: No refunds once the website is delivered and approved

4.2 Hosting Cancellation

  • No long-term contracts - cancel anytime with 30 days' notice
  • No refunds for partial months of hosting
  • Website data will be available for download for 30 days after cancellation
  • After 30 days, all data will be permanently deleted

4.3 Money-Back Guarantee

If you are not satisfied with our website creation service, we will work with you to make revisions until you are satisfied, or provide a refund according to the terms above.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information required for service delivery
  • Respond to requests for feedback and approvals in a timely manner
  • Provide content, images, and materials needed for your website
  • Ensure all provided content does not infringe on third-party rights
  • Make timely payments according to the agreed schedule
  • Use hosting services in compliance with applicable laws and regulations
  • Maintain secure passwords and account credentials
  • Notify us immediately of any unauthorized access to your account

6. Intellectual Property Rights

6.1 Client Content

You retain all ownership rights to content, images, logos, and materials you provide ("Client Content"). By providing Client Content, you grant us a license to use, reproduce, and display it solely for the purpose of delivering our services.

6.2 Deliverables

Upon full payment of the website creation fee, you receive full ownership of the custom website code and design created specifically for your project. However, this does not include:

  • Third-party frameworks, libraries, or plugins (which retain their own licenses)
  • Stock images, fonts, or assets (which may require separate licensing)
  • Proprietary tools or systems developed by TK Technology

6.3 Portfolio Rights

We reserve the right to display your website in our portfolio and marketing materials unless you explicitly request otherwise in writing.

7. Hosting Terms

7.1 Uptime Guarantee

We guarantee 99.9% uptime for hosting services, excluding:

  • Scheduled maintenance (with 48 hours' notice)
  • Force majeure events beyond our control
  • Issues caused by client's code or configurations
  • Third-party service outages

7.2 Resource Limits

Hosting packages include reasonable resource limits for bandwidth, storage, and server resources. We will notify you if your site exceeds these limits and may require an upgrade to a higher-tier plan.

7.3 Prohibited Activities

You may not use our hosting services for:

  • Illegal activities or content
  • Distribution of malware, viruses, or harmful code
  • Spamming or unsolicited mass emails
  • Copyright or trademark infringement
  • Adult content, gambling, or illegal substances
  • Excessive resource consumption that impacts other users

Violation of these terms may result in immediate service termination without refund.

7.4 Backups

We perform regular backups of hosted websites. However, you are responsible for maintaining your own backups. We are not liable for data loss.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • TK Technology shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability for any claim shall not exceed the amount you paid for services in the 12 months prior to the claim
  • We do not guarantee that our services will be uninterrupted, error-free, or completely secure
  • We are not responsible for third-party services, plugins, or integrations
  • We are not liable for loss of profits, revenue, data, or business opportunities

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that:

  • Services will be performed in a professional and workmanlike manner
  • Delivered websites will be free from defects in materials and workmanship for 30 days after delivery
  • We have the right to provide the services offered

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Termination

10.1 Termination by Client

You may terminate hosting services at any time with 30 days' notice. Website creation projects may be cancelled according to the refund policy in Section 4.

10.2 Termination by TK Technology

We reserve the right to terminate or suspend services immediately if:

  • You violate these Terms of Service
  • Payment is overdue by more than 30 days
  • Your use of services poses a security risk to our systems or other clients
  • You engage in prohibited activities outlined in Section 7.3

10.3 Effect of Termination

Upon termination:

  • You will have 30 days to download your website data
  • All outstanding fees become immediately due
  • We will cease providing services
  • Your access to our systems will be revoked

11. Indemnification

You agree to indemnify, defend, and hold harmless TK Technology and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you provide to us

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

12.2 Dispute Process

In the event of any dispute:

  1. Informal Resolution: Contact us at info@tktechnology.org to resolve the matter informally
  2. Mediation: If informal resolution fails, both parties agree to participate in mediation
  3. Arbitration: Unresolved disputes will be settled through binding arbitration

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Material changes will be communicated via email to active clients.

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and TK Technology.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
